These Terms of Service govern your access to and use of MoboWay, a software-as-a-service product of ChozeKai (“ChozeKai,” “we,” “us,” or “our”). By creating an account or using MoboWay, you agree to these Terms. If you use MoboWay for an organization, you confirm that you have authority to bind that organization.
1. The service and operator relationship
MoboWay provides software for transport organizations to manage fleets, staff, routes, schedules, bookings, payments, parcels, and communications. Transport organizations using MoboWay are independent service providers. They—not ChozeKai—operate vehicles, employ or engage drivers, set fares and policies, fulfill trips and parcel services, and handle operator-specific refunds, safety, insurance, and regulatory obligations.
2. Eligibility and accounts
You must be legally capable of entering a binding agreement and provide accurate, current information. Keep credentials and authentication codes confidential, promptly report suspected unauthorized access, and ensure that each person uses their own account. Organization administrators control invitations, roles, and access to their workspace and are responsible for authorized users.
3. Acceptable use
You may use MoboWay only lawfully and in accordance with these Terms. You must not:
- access another organization’s data without authorization;
- probe, disrupt, overload, or bypass security or access controls;
- upload malicious code or use the service for fraud, abuse, or unlawful activity;
- scrape, reverse engineer, resell, or copy the service except where applicable law permits it;
- submit content or personal data you lack the right or lawful basis to process.
4. Organization data and privacy responsibilities
You retain rights in data submitted to your workspace. You grant ChozeKai the limited right to host, process, transmit, back up, and display that data as necessary to provide, secure, support, and improve MoboWay. Organizations must give required notices, obtain required permissions, respond to individuals’ requests, and configure staff access appropriately. Our handling of personal information is further described in the Privacy Policy.
5. Plans, trials, billing, and taxes
Plan features, limits, prices, and billing intervals are shown when you subscribe and may change prospectively with reasonable notice. Trials may convert, expire, or become limited as disclosed during signup. Paid fees are billed in advance and are non-refundable except where stated otherwise or required by law. You authorize applicable payment providers to process charges. You are responsible for taxes other than taxes on ChozeKai’s income.
6. Third-party services
MoboWay may integrate with payment gateways, notification providers, hosting services, maps, or other third parties. Their terms and privacy practices apply to their services. ChozeKai is not responsible for third-party service availability or conduct, though we will use reasonable care in selecting and operating integrations under our control.
7. Intellectual property and feedback
ChozeKai and its licensors own MoboWay, its software, design, branding, and documentation, excluding organization data. These Terms grant only a limited, non-exclusive, non-transferable right to use the service during your authorized subscription. If you provide feedback, we may use it without restriction or payment, without identifying you publicly.
8. Availability, changes, and beta features
We work to keep MoboWay reliable and secure, but do not guarantee uninterrupted or error-free operation. Maintenance, emergencies, network failures, and third-party outages may affect availability. We may modify or discontinue features and will provide reasonable notice when a material change significantly reduces core paid functionality. Preview or beta features may be changed or withdrawn at any time.
9. Suspension and termination
You may stop using MoboWay at any time. We may suspend access to address security risks, unlawful use, nonpayment, material breach, or harm to the service or others. We may terminate for material breach after reasonable notice when a cure is possible. On termination, access ends; data may be deleted after a reasonable retrieval period, subject to legal, security, backup, and recordkeeping requirements.
10. Disclaimers and liability
To the maximum extent permitted by law, MoboWay is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, or non-infringement. ChozeKai does not warrant transport operations, vehicle safety, schedules, fares, parcel delivery, or services supplied by independent operators.
To the maximum extent permitted by law, ChozeKai will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, or data. ChozeKai’s aggregate liability arising from MoboWay will not exceed the fees paid by the affected customer to ChozeKai for the service during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law.
11. Indemnity
To the extent permitted by law, an organization agrees to defend and indemnify ChozeKai against third-party claims arising from its transport or parcel operations, its data or content, its violation of law, or its users’ material breach of these Terms.
12. Changes and general terms
We may update these Terms. We will post the revised version and update its effective date, and provide additional notice for material changes when appropriate. Continued use after the effective date constitutes acceptance. If a provision is unenforceable, the remainder remains effective. Failure to enforce a provision is not a waiver. Neither party is liable for delay caused by events beyond reasonable control. Applicable law and competent courts will govern disputes, subject to mandatory consumer protections and any location-specific agreement entered into with ChozeKai.
